These Vendor Community Guidelines (“Guidelines”) form part of the Vendor Terms of Service and govern the moral, ethical, and professional conduct expected of all vendors (“Vendors” or “you”) who list, sell, or promote products and services on the OREYA Marketplace (“Platform”).
OREYA is operated by Oudience LLC, established in the United Arab Emirates (UAE), and operates in accordance with UAE civil law and Islamic Sharia principles.
By registering as a Vendor or continuing to offer products or services through the Platform, you agree to comply fully with these Guidelines. Violations may result in penalties, suspension, or permanent removal from the OREYA Marketplace.
1) Lawful Practices
All business activities conducted through OREYA must be lawful, transparent, and halal in accordance with UAE law and Sharia ethics.Vendors must ensure that all products and services offered:
· Comply with UAE licensing, customs, and trade laws;
· are free from haram elements such as gambling, drugs, Guns, explosives, adult/obscene material and/or any material that is illegal and/or can cause harm to Users;
· Are sourced, produced, and represented honestly and ethically; and
· Do not promote or support illegal, immoral, or socially harmful practices.
Moreover, Vendor must uphold ethics across all vendor operations including but not limited to:
· Vendors are entrusted with Customers’ confidence and must never misuse that trust.
· All claims and representations must be honest.
· Business dealings must be fair and transparent.
· Vendors should strive for quality, empathy, and goodwill in every interaction.
· Vendors must respect moral and aesthetic boundaries in marketing and communication.
Vendors are strictly prohibited from using the Platform for money laundering, pyramid schemes, counterfeit goods, or any form of deceptive trade.
2) Authentic Item Representation
Honesty and authenticity are the foundation of trust between Vendors, Customers, and OREYA. Vendors must:
· ensure all product descriptions, images, and specifications are accurate, current, and verifiable;
· disclose all material information — such as ingredients, limitations, or conditions – before it is purchased;
· refrain from exaggeration, manipulation, or concealment of material facts;
· ensure all offered items (e.g., products, consultations, reservations, etc.) are delivered professionally, timely, and as described.
· Misleading representation constitutes a breach of both UAE Consumer Protection Law and the Vendor Terms of Service and may trigger immediate penalties or removal from the Platform.
3) Prohibition of Misleading or Immoral Offerings
OREYA is a morally grounded platform. Vendors must not list or promote any offering that is:
· Haram, indecent, or immoral, including items or services offensive to Islamic ethics, public decency, or UAE cultural values;
· Fraudulent or deceptive, including fake discounts, mislabelled origin, or manipulated ratings;
· Unsafe or unverified, including expired, counterfeit, or unregulated goods;
· Emotionally exploitative, such as matchmaking or lifestyle services that encourage dishonesty or harassment;
· Digitally harmful, such as malware, spam, or unauthorized data collection.
Oudience LLC reserves full discretion to remove any content or offering deemed inconsistent with the platform’s moral, legal, or brand standards.
4) Professional Interaction with Customers
Vendors must treat all Customers with courtesy, professionalism, and fairness. Conduct expectations include:
· responding promptly and respectfully to customer inquiries or concerns;
· refraining from using offensive, coercive, or aggressive language in chats or communications;
· handling disputes or refund requests in good faith, even when not legally mandated;
· maintaining confidentiality of Customer information and using it only for order fulfillment;
· avoiding discriminatory or prejudicial behavior based on gender, nationality, or belief.
Any harassment, intimidation, or exploitation of Customers is strictly prohibited and may result in permanent account suspension or referral to the relevant UAE authorities.
5) Compliance with UAE Laws & Regulations
All Vendors must comply with applicable UAE federal and emirate-level laws, including but not limited to:
· Federal Decree-Law No. 45 of 2021 – Data Protection Law;
· Federal Decree-Law No. 34 of 2021 – Cybercrime Law;
· Federal Law No. 15 of 2020 – Consumer Protection Law;
· UAE Commercial Transactions Law; and
· UAE Penal Code provisions concerning morality and public decency.
Vendors must ensure their activities, content, and communications do not violate these statutes or any Sharia-based principles governing lawful trade.Oudience LLC may share Vendor data with competent UAE authorities where required by law, regulation, or court order.
6) Penalties for Violations
To preserve the integrity of the OREYA ecosystem, Oudience LLC maintains a zero-tolerance policy for misconduct. Violations of these Guidelines may result in:
· Written warning or content removal;
· Temporary suspension of Vendor access or listing privileges;
· Permanent account termination and removal of all listings;
· Withholding or forfeiture of outstanding payouts or commissions in serious breach cases; and
· Referral to competent UAE authorities for legal or criminal proceedings where applicable.
Decisions under this policy are made at the sole discretion of Oudience LLC, guided by fairness, legal compliance, and Sharia ethics. Vendors acknowledge that penalties may be applied without prior notice in urgent or high-risk situations.
7) Entire Agreement
This Agreement, together with the Vendor Terms of Service, the Vendor Privacy & Data Protection Policy, and any accompanying documents referenced herein as part of Vendor Policies, constitutes the entire agreement between the Vendor and Oudience LLC concerning the use of the Vendor Dashboard and APIs. It supersedes all prior oral or written understandings on the same subject.
8) Governing Law & Language
· Governing Law & Jurisdiction:This policy and any non-contractual obligations arising out of or in connection with them are governed by the laws of the United Arab Emirates, as applied in the Emirate of Sharjah, with reference to the principles of Islamic Sharia concerning morality, fairness, and public order. The courts of Sharjah shall have exclusive jurisdiction.
· Language & Prevailing Version:This policy is drafted in English. Any translation is provided for convenience. In the event of inconsistency or ambiguity, the English version prevails, provided that any Arabic translation required for UAE court submission shall faithfully reflect the English version.
· Entire Agreement & Updates:This policy, together with the incorporated Vendor Policies, constitute the entire agreement between you and Oudience LLC regarding use of the Platform. We may update these policies or any Vendor Policy by posting a revised version with an updated “Last Updated” date. Your continued use after posting constitutes acceptance of the updated terms.
