This End-User License Agreement (“Agreement”) governs the installation, access, and use of the OREYA mobile and web application (“App” or “Platform”), owned and operated by Oudience LLC, a company incorporated in Sharjah Media City Free Zone (SHAMS), United Arab Emirates (“Oudience LLC,” “we,” “us,” or “our”).

By downloading, installing, or accessing the App, you (“Customer”, “Your”, or “you”) agree to be bound by this Agreement and all other incorporated Customer Policies, including the Terms of Service, Privacy & Data Protection Policy, Community Guidelines, and Payment & Refund Policy. If you do not agree to these terms, you must not install or use the App.

This Agreement sets out your limited rights to use the OREYA software and related services. It does not transfer ownership of any intellectual property and does not constitute a sale of the software or of any associated rights.

Oudience LLC grants you a limited, non-exclusive, non-transferable, revocable license to install, access, and use the OREYA App solely for your personal, lawful, and non-commercial use in accordance with this Agreement and the applicable laws of the United Arab Emirates.

This license allows you to use the App’s functionalities — including matchmaking, messaging, and marketplace browsing and/or purchasing — through devices you own or control, provided that your use complies with Islamic principles of morality and the laws of public decency.

You acknowledge that your license is conditional upon full compliance with this Agreement and may be suspended, restricted, or terminated at any time in accordance with Section 5 below.

You may not, directly or indirectly:

·      copy, reproduce, modify, distribute, or publicly display any part of the App or its contents;

·      decompile, disassemble, reverse engineer, or attempt to derive the source code or underlying structure of the App;

·      use the App for any commercial purpose, resale, or unauthorized distribution;

·      upload, transmit, or store any unlawful, obscene, haram, or infringing content;

·      interfere with the security, performance, or integrity of the App, its servers, or its connected systems;

·      attempt to access or collect data about other Users without consent; or

·      use automated tools, bots, or scripts to engage with the App.

Any unauthorized use or violation of these restrictions constitutes a material breach of this Agreement and may result in immediate termination of your license.

All intellectual property rights, including but not limited to the App’s code, architecture, user interface, graphics, text, algorithms, databases, and trademarks, are and shall remain the exclusive property of Oudience LLC or its licensors.

You are granted no rights or interest in the App other than the limited license expressly stated in this Agreement. Any copies or reproductions made in violation of this clause shall be considered unauthorized and unlawful.

All feedback, suggestions, or ideas you provide about the App shall become the sole property of Oudience LLC, and you waive any claim to additional compensation or ownership arising from such feedback.

The OREYA App integrates with trusted external services and application programming interfaces (APIs) that support essential features such as hosting, data storage, payment processing, content moderation, analytics, and messaging. These integrations may process limited information strictly for operational purposes and in accordance with applicable data-protection law.

Oudience LLC selects and engages such service providers based on their compliance with recognized international and UAE standards of privacy, security, and ethical operation. While we monitor and assess their suitability, we do not control their independent terms of service or privacy practices.

You acknowledge and agree that your use of certain features may involve interaction with these external systems and that Oudience LLC is not responsible for their individual terms, failures, or liabilities, except to the extent mandated by UAE law.

This Agreement remains effective until terminated by either party. You may terminate it at any time by deleting the App and ceasing all use of the Platform.

Oudience LLC may, at its sole discretion and without prior notice, suspend or terminate your license and access to the App if you:

·      breach this Agreement or any incorporated policy;

·      violate applicable law, public morality, or Sharia principles;

·      engage in fraudulent or abusive conduct; or

·      act in a manner that may harm other Users or the reputation of Oudience LLC.

Upon termination, you must immediately cease all use of the App, delete all copies in your possession, and acknowledge that your right to access the Platform has permanently ended. Termination shall not affect any accrued rights or obligations, including those related to indemnification, intellectual property, or limitation of liability.

The OREYA App is provided “as is” and “as available.” Oudience LLC makes no representations or warranties, express or implied, regarding the reliability, accuracy, availability, or fitness of the App for a particular purpose.

We do not guarantee uninterrupted or error-free operation, compatibility with all devices, or the accuracy of any content or results derived from the App. To the maximum extent permitted by UAE law, Oudience LLC disclaims all warranties, including implied warranties of merchantability, fitness for purpose, and non-infringement.

Nothing in this clause excludes liability for fraudulent misrepresentation or deliberate misconduct, consistent with Sharia principles of honesty and fair dealing.

To the fullest extent permitted by UAE law, Oudience LLC shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of or inability to use the App.

Our total cumulative liability, whether in contract, tort, or otherwise, shall not exceed the total amount of subscription fees paid by you during the six (6) months preceding the claim.

You acknowledge that the App facilitates interactions and transactions between Users and Vendors, and Oudience LLC is not responsible for the acts, omissions, or content of any other party.

This EULA, together with the Customer Terms of Service and other incorporated Customer Policies, constitutes the entire legal agreement between you and Oudience LLC concerning your use of the OREYA App. It supersedes any prior verbal or written understandings on the same subject.

·      Governing Law & Jurisdiction:This policy and any non-contractual obligations arising out of or in connection with them are governed by the laws of the United Arab Emirates, as applied in the Emirate of Sharjah, with reference to the principles of Islamic Sharia concerning morality, fairness, and public order. The courts of Sharjah shall have exclusive jurisdiction.

·      Language & Prevailing Version:This policy is drafted in English. Any translation is provided for convenience. In the event of inconsistency or ambiguity, the English version prevails, provided that any Arabic translation required for UAE court submission shall faithfully reflect the English version.

·      Entire Agreement & Updates:This policy, together with the incorporated Customer Policies, constitute the entire agreement between you and Oudience LLC regarding use of the Platform. We may update these policies or any Customer Policy by posting a revised version with an updated “Last Updated” date. Your continued use after posting constitutes acceptance of the updated terms.
