This Payment & Refund Policy (“Policy”) governs all financial transactions carried out by Customers (“Users”) on the OREYA mobile and web application (“Platform”), owned and operated by Oudience LLC, a company incorporated in Sharjah Media City Free Zone (SHAMS), United Arab Emirates (“Oudience LLC,” “we,” “us,” or “our”).

The Policy forms part of the Customer Terms of Service and sets out the rules regarding payment processing, subscription purchases, marketplace transactions, shipping responsibilities, and refund limitations.

By using the Platform or making any payment, you acknowledge that you have read, understood, and agreed to this Policy, which is governed by UAE law and the principles of Islamic Sharia.

OREYA provides matchmaking and community services through several subscription tiers: Free, Free Trial, Bronze, Silver, Gold, and/or Elite.

·      The Free Plan offers limited features at no cost.

·      The Free Trial offers full access to premium features for a limited duration (14 days).

·      The Bronze, Silver, Gold, and Elite Plans are paid, one-time subscriptions that provide enhanced functionality and visibility for the duration specified at the time of purchase.

Each subscription plan, its duration, and its specific features are described in detail within the Platform before purchase. Customers must review all details carefully prior to confirmingpayment and/or purchasing the subscription.

All paid subscription plans on OREYA are one-time purchases. There are no automatic renewals.

Once a plan expires, continued access to premium features requires a new, separate purchase. This ensures transparency, prevents unauthorized charges, and gives Customers full control over their spending.

The Customer is solely responsible for verifying that their subscription plan and pricing are correct prior to completing a transaction.

All payments are securely processed through licensed payment gateways and financial intermediaries that are authorized to operate in the United Arab Emirates and internationally. Oudience LLC does not directly store or handle credit or debit card information.

Your payment data, including any card credentials, is handled exclusively by these regulated service providers in compliance with PCI-DSS security standards, UAE Central Bank regulations, and Federal Decree-Law No. 45 of 2021 on Data Protection.

By completing a transaction, you consent to Oudience LLC’s authorized payment partners processing your payment on our behalf.

All transactions are billed in the United States Dollars (USD) by default unless otherwise specified. Your financial institution or card provider may convert payments into your local currency at its own exchange rate and may apply additional transaction fees.

Displayed prices may vary slightly due to exchange-rate fluctuations or local taxes. Oudience LLC reserves the right to adjust listed prices in compliance with UAE law and commercial policy updates.

All subscription purchases — Bronze, Silver, Gold, and Elite — are strictly non-refundable.

OREYA provides a 14-day Free Trial granting full access to premium features, allowing Users to experience the platform’s capabilities before making a purchase. Therefore, once a paid subscription is purchased, no refunds, reversals, or cancellations will be processed for any reason, including:

·      dissatisfaction with match results or recommendations;

·      failure to find compatible matches;

·      accidental or duplicate purchases; or

·      account closure before the end of the plan duration.

This no-refund policy ensures transparency, fairness, and platform sustainability, while preventing misuse of the trial feature.

The OREYA Platform also includes a marketplace where Users can purchase products, book consultations, or reserve experiences from independent Vendors.

Oudience LLC acts solely as a facilitator between Customers and Vendors and does not sell, ship, or manage any products directly. The following terms apply:

·      Payment Flow: Payments made for products or services are routed through Oudience LLC’s integrated payment system. Upon successful payment, Oudience LLC deducts its service commission and transfers the remaining amount to the respective Vendor.

·      Vendor Responsibility: All aspects of shipping, delivery, returns, and refunds are managed exclusively by the Vendor. Oudience LLC is not responsible for delivery timeframes, product quality, or fulfilment outcomes.

·      Transparency Obligation: Each Vendor is required to display accurate information about shipping, estimated delivery time, return eligibility, and refund conditions on their store listing within the Platform. Customers are advised to review these details carefully before purchase.

·      Refunds from Vendors: If a refund is applicable under a Vendor’s individual policy, it will be processed directly by the Vendor through the same payment channel used for the purchase. Oudience LLC does not hold or issue refunds on behalf of Vendors.

By purchasing through the marketplace, Customers acknowledge that the contract of sale exists directly between them and the Vendor, not between them and Oudience LLC.

·      Internal Dispute Process:If you believe a transaction has been processed in error or a Vendor has failed to fulfill an order, you may contact us (review Contact section of this document on how to contact us) within seven (7) calendar days of fulfilment proposed dateby the Vendor. Oudience LLC will review the concern and may, at its discretion, contact the Vendor for clarification or assistance.

·      Dispute Fees:Oudience LLC may, at its discretion, facilitate dispute mediation between the Customer and Vendor. A non-refundable dispute review fee may be charged, which may be borne by the losing party or divided equally, depending on the outcome.

·      Decision Finality:Oudience LLC’s decision in all disputes shall be final and binding, except where overridden by UAE law or regulatory authority.

All prices displayed on the Platform are exclusive of applicable taxes unless explicitly stated otherwise.
Customers are responsible for any Value Added Tax (VAT), import duties, or international levies applicable in their jurisdiction.

Oudience LLC may collect and remit UAE VAT or similar taxes in compliance with the UAE Federal Tax Authority regulations. Currency conversions are managed by payment processors or banks and may fluctuate due to external market rates.

All financial transactions conducted on OREYA adhere to the following principles ensuring:

·      Unjust uncertainty

·      Full transparent, consent, and disclosure for Oudience related services and subscriptions; and

·      Ethical handling of all funds and commissions.

Oudience LLC commits to fairness and moral responsibility in all commercial dealings. Any transaction found to violate UAE law shall be reviewed, corrected, or reversed in accordance with lawful procedure.

·      Governing Law & Jurisdiction:This policy and any non-contractual obligations arising out of or in connection with them are governed by the laws of the United Arab Emirates, as applied in the Emirate of Sharjah, with reference to the principles of Islamic Sharia concerning morality, fairness, and public order. The courts of Sharjah shall have exclusive jurisdiction.

·      Language & Prevailing Version:This policy is drafted in English. Any translation is provided for convenience. In the event of inconsistency or ambiguity, the English version prevails, provided that any Arabic translation required for UAE court submission shall faithfully reflect the English version.

·      Entire Agreement & Updates:This policy, together with the incorporated Vendor Policies, constitute the entire agreement between you and Oudience LLC regarding use of the Platform. We may update these policies or any Vendor Policy by posting a revised version with an updated “Last Updated” date. Your continued use after posting constitutes acceptance of the updated terms.
