Welcome to OREYA, a mobile and web application (collectively called “Application” or “App”) developed and operated by OUDIENCE ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the OREYAapp and any related services (collectively, the "Services”, “services"). By accessing or using our Services, you agree to be bound by these Terms.

Please read these terms carefully before using our services. If you do not agree with these terms, please do not use the app.

Unless otherwise defined in the Definitions& Interpretations section of this document, the meaning of any word or phrase shall be interpreted in accordance with the definitions provided in the Oxford English Dictionary, as applicable at the time of reading. In the event of a conflict, definitions provided in the Definitions section shall take precedence over the Oxford English Dictionary.

·      Parties:“OUDIENCE LLC”, “OUDIENCE”, “Oudience”, “we”, “us”, or “our”means a company incorporated in Sharjah Media City Free Zone (SHAMS), United Arab Emirates, which owns and operates the “OREYA”, “Oreya” platform (“Platform”). “You”, “your”, or “customer” means the individual who accesses or uses the Platform for the purpose of browsing or buying services offered via the Platform.

·      Platform:Defined as the OREYA application that constitutes of mobile application on Android, iOS, websites, dashboard, and other related devices or related digital services.

·      Services:Defined as (a) Matchmaking discovery and communication features, (b) Marketplace to browse and transact for Products, Consultations, and Reservations offered by independent third-party vendors (“Vendors”), and (c) ancillary features (e.g., messaging, icebreakers, games) accessible through the Platform or linked tools.

·      Incorporated Policies:These Terms incorporate by reference and form a single agreement together with the following Customer Legal Documents (collectively, “Customer Policies”). By accepting these Terms of using the Platform, you also accept and agree to all Customer Policies as mentioned below:

o  Privacy & Data Protection Policy;

o  Community Guidelines;

o  Payment & Refund Policy;

o  End-User License Agreement (EUL); and

o  Copyright & Intellectual Property Rights Policy (shared policy between customers and vendors).

·      Roles:For Marketplace transactions, your purchase contract is with the relevant Vendor, not with Oudience LLC. Oudience LLC acts solely as a facilitator/intermediary of listings and payments through licensed payment service providers; see Sections 5 and 6 and the Payment & Refund Policy.

·      Third-party service providers:We may engage trusted external service providers (e.g., for hosting, payments, identity verification, analytics, content safety, communications). They process data only on our instructions and in accordance with applicable law. Provider identities need not be publicly disclosed for confidentiality and security; see the Privacy & Data Protection Policy.

·      Interpretation:Headings are for convenience only and do not affect interpretation. References to “laws of the UAE” include federal laws as applied in the Emirate of Sharjah. Any ambiguity shall be resolved in a manner consistent with the principles of Islamic Sharia on morality, good faith, and fairness.

·      Minimum Age:You must be at least 18 years old or of legal majority/age of consent under applicable law to use the Platform.

·      Capacity:You must have legal capacity to enter binding agreements and must not be prohibited from using the Platform under any applicable laws.

·      Jurisdictional Use:You are responsible for ensuring your use complies with the laws, public order, and moral standards applicable in your country, location and if you reside in the UAE.

·      Account Information:You must provide true, accurate, current, and complete information and keep it updated.

·      Security:You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized access. The Contact section of this document shows how to notify us for any security issue(s).

·      Identity Verification:

o  Mandatory for Paid Plans: ID verification is mandatory for paid subscriptions.

o  Optional for Trial/Free:ID verification is optional for Trial and Free plans.

o  Verification Process:Facilitated by a third-party verification provider; by proceeding you consent to their processing of your identity data in accordance with the Privacy & Data Protection Policy.

o  False Declarations: Misrepresentation (e.g., identity, age, marital status) is a material breach and may result in immediate suspension or termination.

·      One user, one account:You may maintain only one personal account unless we expressly approve otherwise.

·      Halal and Lawful Conduct:You must use the Platform in a manner consistent with UAE law and Islamic Sharia. Indecent, immoral, or unlawful conduct (including obscene content, explicit solicitation, harassment, exploitation, or activities conflicting with public morality) is strictly prohibited.

·      Purpose:The Platform is intended to facilitate respectful, halal interactions and lawful transactions. It is not intended for casual indecency, unlawful relationships, or any conduct contrary to Islamic moral principles.

·      Content Moderation:

o  Profiles & Media:We may employ automated and/or manual measures to screen profile media for indecency or policy violations.

o  Chats:Messaging tools are provided to foster communication; content may be end-to-end encrypted. You remain solely responsible for your communications and compliance with law and Community Guidelines.

o  Cooperation with Authorities:We may cooperate with competent authorities as required by law.

·      No Representation of Marital Status:We do not verify users’ marital status or personal intentions. Customers are solely responsible for the truthfulness and lawfulness of their representations.

·      Matchmaking:The Platform provides discovery, recommendation, and communication tools to help Users connect. We do not guarantee compatibility, matches, communication outcomes, or any personal relationship results (see Section 6).

·      Marketplace:

o  Listings:Vendors list Products, Consultations, and Reservations (collectively “Items”).

o  Facilitation only:We provide the technological means to view, select, purchase/book, and pay for Items.

o  No delivery/fulfilment by Us:We do not manufacture, deliver, fulfill, warrant, provide after-sales service, or ensure quality, safety, legality, or fitness for purpose of any Item.

o  Invoices:For Marketplace purchases, the Vendor issues the invoice to you. Separately, Oudience LLC may invoice the Vendor for commissions/fees.

·      Consultations & Reservations:Scheduling tools may be provided. All service delivery, timings, and outcomes are exclusively the Vendor’s responsibility.

·      Linked Features:Some features (e.g., games, icebreakers, content suggestions) may be delivered via third-party tools linked through the Platform. Your use of linked tools is subject to this Agreement and, where applicable, the third party’s terms.

·      Safety:Meetings or interactions arranged through the Platform occur at your own discretion and risk. Exercise caution and follow safety guidance in the Community Guidelines.

·      No Warranty of Outcomes:We make no promise or guarantee regarding:

o  The number of quality of matches;

o  Communication responsiveness or behaviour of other users;

o  The availability, quality, legality, accuracy, safety, delivery, or fitness for purpose of any Vendor Item; or

o  The success, satisfaction, or outcomes of any relationship or purchase.

·      Vendor Responsibility:Vendors are solely responsible for their Items, descriptions, pricing, stock, delivery, cancellations, refunds, after-sales service, and legal compliance.

·      Platform Availability:We do not guarantee uninterrupted access or error-free operation and may modify, suspend, or discontinue features without liability, subject to applicable law.

You must comply with the Community Guidelines, which are incorporated by reference and form part of these Terms.

·      Prohibited Conduct: Without limitation, you must not:

o  Upload, share, or transmit indecent, obscene, harassing, defamatory, hateful, or otherwise unlawful content;

o  Solicit or engage in activities contrary to public morality or Sharia;

o  Impersonate others, misrepresent identity/age/marital status, or engage in fraud;

o  Infringe intellectual-property or privacy rights;

o  Scrape, harvest, or reverse engineer the Platform;

o  Interfere with Platform operation, security, or other customer’s and/or vendor’s enjoyment.

·      Reporting & Enforcement:Please report violations via in-app channels. We may, at our discretion, warn, restrict, suspend, or terminate accounts, and/or notify competent authorities, consistent with UAE law and Sharia principles.

·      Our Rights:We may suspend or terminate your account (with or without notice) if you:

o  Breach these Terms or any Customer Policy;

o  Engage in unlawful, indecent, or immoral conduct;

o  Provide false identity or misuse the Platform; or

o  Create risk or possible legal exposure for us, other users, customers and/or vendors.

·      Your Rights:You may stop using the Platform at any time and may request account closure as described in the Privacy & Data Protection Policy.

·      Effect of Termination: Upon termination:

o  Access to your account and certain content/features may cease;

o  No refunds or credits are due unless required by law;

o  Provisions intended to survive (e.g., IP, disclaimers, limitations, indemnities, governing law, financial transactional data as required by law) shall survive.

·      Limitations:To the fullest extent permitted by UAE law, Oudience LLC (and its directors, officers, employees, and affiliates) shall not be liable for any:

o  Indirect, incidental, consequential, special, exemplary, or punitive damages;

o  Loss of profits, revenue, data, goodwill, or opportunity;

o  Harm arising from user, customerand/or Vendor conduct; or

o  Reliance on Listings, messages, or third-party tools.

·      Cap:To the extent liability cannot be excluded, our aggregate liability for all claims in the preceding six (6) months shall not exceed the total subscription fees you actually paid to us in that period (if any). Nothing excludes liability for fraud or intentional misconduct.

·      Indemnity:You agree to indemnify, defend, and hold harmless Oudience LLC (and its directors, officers, employees, and affiliates) from any claim, demand, loss, damage, cost, or expense (including reasonable legal fees) arising from:

o  Your breach of these Terms or any Customer Policy;

o  Your unlawful, indecent, or immoral conduct; or

o  Your transactions or disputes with Vendors or other users.

·      Direct Resolution First:For Marketplace issues, you must first seek resolution directly with the Vendor (refunds, replacements, cancellations, quality concerns). The Vendor is contractually responsible for fulfillment and after-sales matters.

·      Optional Mediation by Oudience LLC:We may, at our sole discretion, offer non-binding internal mediation for certain disputes. We are not obligated to mediate and may decline if a dispute has been previously documented or is repetitive.

·      Disputed Fee:Where mediation is conducted, a flat, non-refundable dispute-processing fee may be charged to the losing party (as determined by us).

·      No Class Actions:Disputes shall be pursued on an individual basis only.

·      Courts:If unresolved, disputes shall be submitted to the competent courts of the Emirate of Sharjah, United Arab Emirates.

·      Governing Law & Jurisdiction:These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the United Arab Emirates, as applied in the Emirate of Sharjah, with reference to the principles of Islamic Sharia concerning morality, fairness, and public order. The courts of Sharjah shall have exclusive jurisdiction.

·      Language & Prevailing Version:These Terms are drafted in English. Any translation is provided for convenience. In the event of inconsistency or ambiguity, the English version prevails, provided that any Arabic translation required for UAE court submission shall faithfully reflect the English version.

·      Entire Agreement & Updates:These Terms, together with the incorporated Customer Policies, constitute the entire agreement between you and Oudience LLC regarding use of the Platform. We may update these Terms or any Customer Policy by posting a revised version with an updated “Last Updated” date. Your continued use after posting constitutes acceptance of the updated terms.
