This Copyright & Intellectual Property Rights Policy (“Policy”) governs the ownership, protection, permitted use, and enforcement of the intellectual property belonging to Oudience LLC, the creator and operator of the OREYA application and platform. The purpose of this Policy is to ensure that all Users, Vendors, partners, and external parties understand the legal rights associated with our proprietary materials and agree to respect and uphold those rights when interacting with the OREYA brand, website, applications, content, and associated digital assets.

By accessing or using any part of the OREYA platform, you acknowledge that the intellectual property appearing on or embedded within the platform is owned exclusively by Oudience LLC, and you undertake to refrain from any conduct that infringes upon, misappropriates, dilutes, or harms such rights.

All intellectual property rights associated with the OREYA platform are exclusively owned by Oudience LLC. This includes, without limitation, the OREYA name, logo, brand symbols, proprietary artwork, icons, interface designs, software code, algorithms, database structures, text, graphics, audiovisual content, marketing materials, technical documentation, and any other creative or functional works created or deployed by Oudience LLC.

All such intellectual property is protected under UAE Federal Laws, including but not limited to Federal Law No. 38 of 2021 on Copyrights and Neighboring Rights, Federal Law No. 36 of 2021 on Trademarks, and Federal Law No. 31 of 2021 regarding Criminal Offences and Penalties. These protections exist automatically by virtue of ownership and creation, and no individual or entity may claim rights to our intellectual property without explicit written consent.

No individual, organization, bot, AI, or any entity is permitted to use, reproduce, copy, alter, distribute, publish, share, or exploit the intellectual property belonging to Oudience LLC without obtaining prior written authorization. This prohibition applies to all forms of use, whether commercial or non-commercial, public or private, digital or physical.

Any attempt to imitate, replicate, or reverse-engineer the OREYA platform; to create derivative works based on our designs, algorithms, user interface concepts, or business model; or to adopt confusingly similar visual or textual elements, or URL constitutes a violation of this Policy and may result in legal action.

The OREYA logo, name, and other brand identifiers may not be used in a manner that misrepresents affiliation, sponsorship, endorsement, or partnership with Oudience LLC. Furthermore, our intellectual property must never be used in a defamatory, misleading, harmful, immoral, or deceptive manner that may tarnish the reputation of Oudience LLC, the OREYA brand, or any individual associated with the company.

Limited and revocable permission may be granted to individuals or businesses who have entered into formal agreements with Oudience LLC to use certain intellectual property elements for collaborative, operational, or promotional purposes. Any such permission is strictly governed by the explicit terms of the written authorization and may be withdrawn at any time if the licensee violates the terms, misuses the intellectual property, or engages in conduct that conflicts with the values, ethics, or business interests of Oudience LLC.

In all cases, permission to use Oudience LLC’s intellectual property does not grant ownership or any broader rights beyond those expressly stated. Any unauthorized extension of permitted use shall be considered an infringement.

Oudience LLC is committed to maintaining the integrity, dignity, and ethical standing of the OREYA brand. Accordingly, no individual or entity may use our intellectual property in any manner that is defamatory, insulting, deceptive, or harmful. This includes creating false impressions, spreading misleading statements, generating fake reviews or reports, misrepresenting internal systems, or attempting to damage the reputation or credibility of OREYA, Oudience LLC, its management, or its affiliates.

Any use of our intellectual property must reflect honesty, transparency, and respect, in accordance with the UAE’s defamation laws, which prohibit slander, deception, and unjust harm to individuals or businesses. Any breach of this obligation will be treated as a serious violation and may result in civil litigation, criminal complaints, or regulatory action.

Any content that Users or Vendors upload, submit, or create on the OREYA platform remains their property; however, by submitting such content, they grant Oudience LLC a non-exclusive, royalty-free, worldwide license to store, display, distribute, process, and use such content solely for the operation and improvement of the platform.

This license does not affect the ownership of the user-generated content, but it allows Oudience LLC to perform technical and operational functions necessary for security, matching algorithms, customer experience, and marketplace operations.

Users must ensure that any content uploaded does not infringe third-party intellectual property rights. Oudience LLC reserves the right to remove infringing content and suspend or terminate accounts that repeatedly violate intellectual property rules.

Your notice must include sufficient information to identify the work claimed to be infringed and the alleged infringing material. Oudience LLC may request additional proof before taking action.

Upon receiving a valid complaint, Oudience LLC will conduct an internal investigation and may remove the disputed material, suspend the responsible account, notify the individual involved, or take any action deemed appropriate under UAE law.

·      Governing Law & Jurisdiction:This policy and any non-contractual obligations arising out of or in connection with them are governed by the laws of the United Arab Emirates, as applied in the Emirate of Sharjah, with reference to the principles of Islamic Sharia concerning morality, fairness, and public order. The courts of Sharjah shall have exclusive jurisdiction.

·      Language & Prevailing Version:This policy is drafted in English. Any translation is provided for convenience. In the event of inconsistency or ambiguity, the English version prevails, provided that any Arabic translation required for UAE court submission shall faithfully reflect the English version.

·      Entire Agreement & Updates:This policy, together with the incorporated Vendor Policies, constitute the entire agreement between you and Oudience LLC regarding use of the Platform. We may update these policies or any Vendor Policy by posting a revised version with an updated “Last Updated” date. Your continued use after posting constitutes acceptance of the updated terms.
